Selling a flat in Noida? Capital gains tax, TDS and how to save it

Selling a flat in Noida, Greater Noida or along the Yamuna Expressway is usually the largest single transaction in a family's tax year. The tax isn't complicated, but a few Noida-specific details change the numbers: the leasehold land, the circle rate, the builder's allotment date and the buyer's TDS. This note covers each one, and the legal ways to bring the tax down.

Leasehold flats are taxed like any other property

Most flats in Noida and Greater Noida stand on land leased by the Noida Authority, GNIDA or YEIDA, usually for 90 years. When you sell, you are transferring your leasehold rights in the flat. For income tax, that is still the transfer of a capital asset, and the normal capital gains rules apply. The Authority's transfer memorandum, NOC and transfer charges are part of the paperwork, and they affect your cost, but not whether tax applies.

Step 1: short-term or long-term?

  • Held more than 24 months: long-term capital gain.
  • Held 24 months or less: short-term capital gain, added to your income and taxed at your slab rate.
  • Bought from a builder under construction? The holding period is generally counted from the date of the allotment letter, not the registry. Tribunals and courts have mostly accepted this, though the department sometimes argues for the possession or registry date. Keep the allotment letter and the payment receipts. With delayed Noida projects, this can be the difference between short-term and long-term.

Step 2: work out the gain

What goes in
Sale valueThe price in the sale deed, or the circle rate value if that is more than 10% higher (see below)
Less: transfer expensesBrokerage, legal fees, and any transfer charges you paid as seller
Less: cost of acquisitionPurchase price including PLC, car parking and club charges, stamp duty and registration, transfer charges and one-time lease rent you paid when buying
Less: cost of improvementCapital work with bills: structural changes, modular kitchen fitted in, flooring. Not routine repairs or painting
= Capital gain

Keep every receipt. Gaps in the paperwork are the most common reason the gain on a Noida flat comes out higher than it should.

The circle rate problem

Resale prices in some Noida and Greater Noida societies are below the circle rate. If the price in your sale deed is lower than the circle rate value by more than 10%, the tax law treats the circle rate value as your sale price. You pay tax on money you never received, and the buyer can be taxed on the difference too.

If the market price is genuinely lower, you can ask for a reference to the Valuation Officer when your case is assessed. Discuss this before you fix the price, not after the registry.

Step 3: the tax rate

SituationTax
Long-term, flat bought on or after 23 July 202412.5%, without indexation
Long-term, flat bought before 23 July 2024, resident individual or HUFThe lower of 12.5% without indexation or 20% with indexation
Short-termYour slab rate

Surcharge and 4% cess apply on top. Indexation tends to help where the price has risen slowly over a long holding period. Work out both before you file.

Step 4: TDS the buyer deducts

  • You are a resident: the buyer deducts 1% of the price (or the circle rate value, if higher) when it is ₹50 lakh or more, and deposits it against your PAN in Form 141. Check it appears in your Form 26AS and AIS. It counts as tax already paid.
  • You are an NRI: the buyer must deduct tax at the long-term capital gains rate, plus surcharge and cess, often on the whole sale price. That can lock up far more than your actual tax. Apply for a lower deduction certificate before the sale so that TDS is only on the real gain.

How to reduce or remove the tax

Buy or build another house

  • Buy a residential house within 1 year before or 2 years after the sale, or construct one within 3 years.
  • The long-term gain invested is exempt, up to ₹10 crore. Once in a lifetime, if the gain is up to ₹2 crore, it can be invested in two houses.
  • Haven't bought yet when your return is due? Deposit the amount in the Capital Gains Account Scheme at a bank before the return due date, and use it within the time limit.
  • If you sell the new house within 3 years, the exemption is reversed.

Capital gains bonds

  • Invest up to ₹50 lakh in specified bonds (REC, PFC, IRFC) within 6 months of the sale.
  • Five-year lock-in. The interest is taxable.

Set off losses

Long-term capital losses from shares, mutual funds or other property, in the same year or carried forward, can be set off against the gain.

After the sale

  1. Advance tax: a large gain booked during the year changes your advance tax. A sale in October needs to be covered by the 15 December and 15 March instalments, or interest applies.
  2. The right return: report the sale in the capital gains schedule of ITR-2 or ITR-3, not ITR-1. The sale already appears in your AIS through the registry and the buyer's TDS, so it will be matched.
  3. Keep the file: sale deed, purchase documents, allotment letter, Authority transfer papers, improvement bills, and proof of reinvestment. Notices on property sales commonly arrive two to three years later.

Mistakes we see Noida sellers make

  • Counting the holding period from the registry date and paying short-term tax on a flat that was long-term from allotment.
  • Leaving out PLC, parking, transfer charges and stamp duty from the cost.
  • Agreeing a price well below the circle rate without planning for the tax effect.
  • Booking a new flat with the sale money but missing the Capital Gains Account deposit before the return deadline.
  • NRI sellers letting the buyer deduct TDS on the full price instead of getting a lower deduction certificate first.

How Vitt-Marg helps

We are in Sector 63, Noida, and work with sellers across Noida, Greater Noida and the Yamuna Expressway. Before the sale, we compute the gain under both options, check the circle rate position and plan the reinvestment. For NRIs, we file for the lower deduction certificate. After the sale, we handle advance tax and the return. See our income tax consultant services in Noida.
