Registering a company in Noida? It goes to ROC Kanpur, not Delhi

Many founders in Noida assume their company will be registered with the ROC in Delhi, because Noida is part of NCR. It isn't. A company with its registered office in Noida or Greater Noida comes under the Registrar of Companies, Kanpur, which covers all of Uttar Pradesh. That one fact affects your stamp duty, your GST and how you deal with the ROC later.

Choose the address where the business will actually run. GST officers verify the premises, and a registered office that exists only on paper causes trouble at GST registration and with banks. Shifting the registered office from UP to Delhi later means a state change. That needs Regional Director approval and takes months.

What it costs

  • MCA fees: nil for authorised capital up to ₹15 lakh, which covers most new private limited companies.
  • Stamp duty in UP: on a ₹1 lakh authorised capital company, about ₹500 each on the MoA and AoA, paid through the SPICe+ forms. It rises with higher capital.
  • DSCs for each director, plus professional fees. Plan for these outside the government fees.

Registered office proof that works

  • A recent electricity bill, water bill or similar utility bill in the owner's name, generally not older than two months.
  • A rent agreement and a no-objection certificate from the owner if the premises are rented. For a flat in a residential sector, a NOC from the family member who owns it.
  • For Noida Authority allotments, the lease deed or allotment letter in the owner's name.

You can register a company at your home in Noida. Make sure the same address and documents will also work for GST registration, because the GST officer may visit.

The first months after incorporation

  1. Bank account and deposit of the share subscription money, followed by INC-20A within 180 days of incorporation.
  2. First auditor appointed by the board within 30 days.
  3. GST registration in UP if you need it from day one, and Udyam registration for MSME benefits.
  4. Board meetings, share certificates, statutory registers and a compliance calendar for AOC-4, MGT-7 and DIR-3 KYC, all filed with ROC Kanpur through the MCA portal.

Almost everything is now filed online, so you rarely need to go to Kanpur. What matters is getting the jurisdiction, stamp duty and documents right at the start.
